SECTION I. SUMMARY OF RESTRICTIONS

Please read our complete Terms of Service which are clearly stated in Section II.

Hiring Company Restrictions

You must be a Subscriber in order to log in to SalesRecruits.com as a Member hiring company. To become a Subscriber, you must be in possession of a fully executed copy of a SalesRecruits.com Subscriber Agreement. If you are a Member, you may not share your user ID and password with anyone - including your co-workers.

Candidate Restrictions

Candidates are limited to submitting one resume and profile each. We consistently review candidate entries and delete duplicates. Candidates may not submit resumes and profiles for friends and/or business associates - even when they have been given permission to do so.

Recruitment Firm Restrictions

Recruitment firms are not permitted to subscribe to SalesRecruits.com under any circumstances. Specifically, recruitment firms are not permitted to gain access to SalesRecruits.com on behalf of, through, or in any way connected with, their clients. In addition, employees of recruitment firms are not permitted to post their resumes in order to masquerade as potential candidates - or as a technique to make contact with SalesRecruits.com Member hiring companies.

SECTION II. TERMS OF SERVICE

1. SalesRecruits.com authorizes you to view and download a single (or multi-user according to your subscription agreement) copy of the material on the www.salesrecruits.com "Web Site" solely for your personal, noncommercial use.



2. You may not sell or modify information found on the website or reproduce, display, publicly perform, distribute, or otherwise use the information in any way for any public or commercial purpose. The use of the information on any other web site or in a networked computer environment for any purpose is prohibited.



3. You shall not copy or adapt the HTML code that the website creates to generate its pages.



4. Web Site Security Rules. Users are prohibited from violating or attempting to violate the security of the Web Site, including, without limitation,
   1. accessing data not intended for such user or logging into a server or account which the user is not authorized to access,
   2. attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization,
   3. attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Web Site, overloading, "flooding", "spamming", "mailbombing" or "crashing",
   4. sending unsolicited e-mail, including promotions and/or advertising of products or services, or
   5. forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.
   Violations of system or network security may result in civil or criminal liability. SalesRecruits.com will investigate occurrences, which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.



5. The Web Site may be used only for lawful purposes by individuals posting resumes and employers seeking employees or candidates to present to hiring managers within the employer company. SalesRecruits.com specifically prohibits any use of the Web Site, and all users agree not to use the Web Site, for any of the following:
1. Using any device, software or routine to interfere or attempt to interfere with the proper working of this Web Site or any activity being conducted on this site.
2. Taking any action which imposes an unreasonable or disproportionately large load on this Web Site's infrastructure.
3. If you have a password allowing access to a non-public area of this Web Site, disclosing to or sharing your password with any third parties or using your password for any unauthorized purpose, or printing and sharing any of the information on this Web Site with unauthoirzed users.
4. Notwithstanding anything to the contrary contained herein, using or attempting to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search this Web Site other than the search engine and search agents available from the Web Site and other than generally available third party web browsers (e.g., Netscape Navigator, Microsoft Explorer).
5. Attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Web Site.


6. SalesRecruits.com does not represent or guarantee the truthfulness, accuracy, or reliability of resumes posted by users or SalesRecruits.com. You acknowledge that any reliance on material posted by other users will be at your own risk. SalesRecruits.com acts as a conduit for the online distribution and publication of resumes and has no obligation to screen information in advance and is not responsible for screening or monitoring resumes (although screening, which can not be guaranteed, is a part of the SalesRecruits.com service).



7. You agree not to resell or assign your rights or obligations under these Term of Service. If your company is merged, acquired, or closed, then your account shall be de-activated immediately upon such an event. In the event of a merger or acquisition, SalesRecruits.com shall issue the merged or acquiring company with a pro-rated credit which can be applied towards a new SalesRecruits.com subscription agreement. You also agree not to make any unauthorized commercial use of the Web Site.



8. The aggregate liability for the Company to you for all claims arising from the use of the Materials is limited to $100.



9. You agree in the event SalesRecruits..com or it's agent requests information pertaining to your account that you will provide said information within 24 hours of notification.



10. You agree that through your use of the SalesRecruits.com website to agree to abide by the laws of the State of New York.



11. You agree that the forum for all litigation as a result of misuse of the SalesRecruits.com website shall be the State of New York, not withstanding conflict of laws rules.



12. You acknowledge that the transmission of unsolicited commercial e-mail (UCE or SPAM) is against both the policies of SalesRecruits.com and illegal in the State of New York, and will be vigorously prosecuted when detected.



13. You acknowledge and agree that if SalesRecruits.com must bring an action for breach of this agreement due to unauthorized contact with candidates, you will be responsible for attorney's fees and costs associated with the action.



14. You agree that the name "SalesRecruits.com" and all associated information on the SalesRecruits.com website, including resumes, are the intellectual property of SalesRecruits.com (and it's parent PeopleComm, Inc.) and their unauthorized use constitutes copyright and /or trademark infringement.



15. SalesRecruits.com reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to immediate termination of your registration with or ability to access the Web Site and/or any other service provided to you by SalesRecruits.com, upon any breach by you of these Terms of Service or if SalesRecruits.com is unable to verify or authenticate any information you submit to the Web Site registration with or ability to access the Web Site.



16. The Company reserves the right to expel users and prevent their further access to the Web Site for violating the Terms of Service or the law.



17. SalesRecruits.com is a unique product offering access to a database of resumes you agree that by accessing the database only once you have waived all rights to any refunds of fees paid to SalesRecruits.com.
